I - Placing an order
A . Your order should be addressed to IHT Mis en Demeure either by e-mail, fax or by postage mail on your company's note headed paper. Mis en Demeure will send a confirmation of your order as soon as possible either by fax or by postage mail. Any order confirmed by Mis en Demeure to the buyer implies his acceptance without any reserves of our General Terms and Conditions as stated below.
Mis en Demeure can decide to cancel and not accept any new order from a customer with whom some paying issues on a previous order remain unsolved.
B. Products can be ordered only according to the minimum order quantities indicated on our price list.
C. Invoicing prices are indicated in Euros and do not include vat or transport fees. Mis en Demeure may modify its invoicing prices at anytime. However once a specific order is confirmed to the buyer its invoicing prices are final and fixed even if prices are subsequently modified.
D : Availability : our product offers are subject to available stock. For out of stock products, our offer is subject to supplier delay in providing the product

II - Minimum order amount
The minimum amount for a first order with us is fixed at 4000 € ex. VAT. The minimum amount for re-order is 800 € ex. VAT.
III - Responsibilities
The products proposed on our website and catalogue meet current French regulation. Mis en Demeure cannot be held responsible in case of mismatch with local regulations where items are delivered. It is your responsibility to check with local authorities all regulations regarding import and usage of products you plan to order. Pictures and text reproducing and illustrating products presented are not contractual and Mis en Demeure cannot be held responsible of any error on pictures or written text.
Likewise, Mis en Demeure will not be held responsible of the usage made of products ordered and delivered, the client will be solely responsible of their usage by himself or final users

IV - Deliveries
Our products are sold EXW, Ex-Works from our warehouse. Whether they travel with our usual carrier, or are collected by the client carrier in our warehouse, all costs, insurance and freight, are at client's expense (carriage due). Products will be delivered to the delivery address that you will indicate on your order. Mis en Demeure has the possibility of splitting the delivery in more than one order.
V - Claims
Even if the outside boxes appear in good exterior condition, please check, before signing the delivery note, if the items have been delivered in the quantity expected and are not damaged. If needed, specify all reserves next to your signature on the delivery note. No claim will be accepted if ''reserves'' were not mentioned on the delivery note and not confirmed in a detailed letter (If possible with pictures showing the problem encountered).
The claim must be sent by registered mail within 3 working days following the delivery. This claim letter must be addressed both to the carrier's head office and to Mis en Demeure. If the claim is not due to a transport problem, Mis en Demeure after study and acceptance of your claim, will either reimburse you or replace the goods. Any Claim sent after the 3 working day delay will not be accepted

VI - Payments
A. For all new customer from France or a foreign country :
A 50% deposit on the total amount of the order will be required to start processing it and the 50% balance will be due before shipment once the order is ready in our warehouse.
B. For our existing customers in France and in foreign countries :
Various existing paying conditions are possible either by bank check, bill of exchange or bank transfer : when collecting the goods in our warehouse / on a pro-forma basis /cash on delivery / upon receipt of invoice / at 30 days date of invoice

VII - Our markets and orders are reputed done and payable in Paris
In case of disagreement, the French court will be the only competent court, even in the case of various defendant parties. If any of the clauses of these General Terms and Conditions is opposed by one of our co-contractant, this one would be declared invalid and only those here presented will produce their effect.
VIII - Property transfer
The transfer of property of the goods takes place not just when goods are delivered but once they are fully paid.
Consequently, and in case of non-payment of invoices due, Mis en Demeure will be able to reclaim by right the delivered goods

IX - Intellectual Property
All the texts, comments, illustrations and pictures reproduced on the site http://www.misendemeure.com and catalogue are the exclusive author and intellectual property of Mis en Demeure throughout the world. In compliance with the intellectual property dispositions, only the private usage is allowed. Any other usage is forbidden except if Mis en Demeure has accepted it. Any reproduction - even partial - of the Mis en Demeure catalogue is strictly forbidden.
